1. Agreement
These Terms of Service ("Terms") are an agreement between TWINJAM 9PEARL PRIVATE LIMITED (CIN U46901MH2026PTC466510), a private limited company incorporated in India under the Companies Act, 2013, with its registered office at Floor 4, Plot 24/26 Cecil Court, Regal Cinema, Colaba, Mumbai G.P.O., Mumbai, Maharashtra 400001, India ("TWINJAM") and the organisation that creates a TWINJAM workspace or signs an Order Form ("Customer"). By clicking to accept or by using the service, the individual doing so confirms they have authority to bind the Customer.
If Customer has signed a Master Subscription Agreement with TWINJAM, that agreement governs instead of these Terms.
2. The service
TWINJAM is an operational scope monitoring and change management tool. It parses contract documents Customer uploads, evaluates content from integrations Customer authorises against boundary rules derived from those documents, and drafts change orders for Customer's review.
TWINJAM does not provide legal advice, does not interpret contracts on Customer's behalf for legal purposes, and does not send any communication to Customer's clients without an authorised user's explicit approval. Customer remains responsible for its contracts, its client relationships and every document it chooses to send.
3. Free trials
New workspaces may use the service free for 14 days on production data with no credit card required. At the end of the trial the workspace becomes read-only unless Customer selects a paid plan. Trial data is deleted 30 days after the trial ends unless Customer subscribes.
4. Plans, fees and payment
- Fees are based on the number of active client project workspaces in the selected plan (Studio, Agency or Scale), not on seats.
- Annual plans are invoiced in advance. Monthly plans are charged in advance on the subscription date.
- Fees are in US dollars and exclude taxes. Customers in India are invoiced in INR with GST applied as required.
- Undisputed invoices are due within 30 days. TWINJAM may suspend the service after 15 days' written notice of non-payment.
- Price changes take effect at the next renewal, with at least 45 days' notice.
5. Customer responsibilities
- Choose which channels, projects and repositories to connect, and ensure Customer has the right to process that content, including under its agreements with its own clients.
- Configure channel allow-lists so that only channels relevant to contracted work are monitored.
- Keep user credentials confidential and require multi-factor authentication where available.
- Review every flag and change order draft before relying on it or sending it to a client.
6. Acceptable use
Customer will not, and will not permit anyone to: monitor individual employees for performance management or disciplinary purposes using the service; connect personal or direct-message conversations; upload unlawful content; reverse engineer the service; use the service to build a competing product; or exceed rate limits in a way that degrades the service for others.
7. Customer data and intellectual property
Customer owns all content it uploads or connects ("Customer Data"). TWINJAM processes Customer Data only to provide and secure the service, as described in the Data Processing Addendum. TWINJAM does not use Customer Data to train machine learning models.
TWINJAM owns the service, its software and documentation, and aggregated, de-identified usage statistics that do not identify Customer, its clients or any individual. Feedback Customer provides may be used without obligation.
8. Warranties and disclaimers
TWINJAM warrants that the service will perform materially as described in its documentation and that it will not materially decrease the security of the service during a subscription term. Customer's exclusive remedy for breach of this warranty is correction of the non-conformity or, failing that, termination and a refund of prepaid fees for the remaining term.
Flags, confidence scores and change order drafts are decision support. Except as expressly stated, the service is provided "as is" and TWINJAM disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement to the extent permitted by law.
9. Limitation of liability
Except for indemnity obligations, breach of confidentiality, or a party's gross negligence or wilful misconduct, each party's total liability under these Terms is limited to the fees paid or payable by Customer in the 12 months before the event giving rise to the claim. Neither party is liable for indirect, consequential or lost-profit damages.
10. Term and termination
Subscriptions renew for successive terms of the same length unless either party gives notice of non-renewal at least 30 days before the end of the term. Either party may terminate for material breach not cured within 30 days of notice. On termination, Customer may export its data for 30 days, after which TWINJAM deletes it within a further 30 days, except for backups that expire on their normal 35-day cycle.
11. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to the next paragraph, the courts at Mumbai, Maharashtra have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
Disputes that are not resolved by good-faith negotiation within 30 days will be finally resolved by arbitration seated in Mumbai under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, in English.
12. General
Neither party may assign these Terms without consent, except to a successor in a merger or sale of substantially all assets. Notices to TWINJAM go to legal@twinjam.com with a copy to the address above. These Terms, the Order Form and the Data Processing Addendum are the entire agreement on this subject.
TWINJAM is an operational scope monitoring and change management tool. TWINJAM parses contract documents for tracking purposes and does not provide formal legal representation or binding legal counsel. Agencies should have formal Master Services Agreements reviewed by qualified legal counsel.
