ERP Implementation Statement of Work Template
An ERP SOW that fixes modules, entities, integrations, reports and data migration scope, with phase gates, so a NetSuite or Dynamics rollout does not absorb every process redesign request.

Additional subsidiaries, currencies or modules not listed, including manufacturing, payroll and advanced revenue recognition.
Ambiguity fix
Implement NetSuite to meet the client's business requirements.
Implement NetSuite per the signed solution design document, configuring the modules, entities and objects listed in Schedules A to D.
Best for
Systems integrators implementing NetSuite, Microsoft Dynamics 365 Business Central or similar ERPs for mid-market companies.
ERP projects have more stakeholders than most agency work, and each department discovers new requirements once it sees the system. The protection is phase gates. Requirements are signed at the end of design, after which every change has a cost and a date. This template lists modules, subsidiaries, integrations, custom reports, scripts and data objects by count, and keeps business process redesign as a client decision supported by the integrator.
Copy any clause block below into your own SOW. Numbers, appendix names and tools are placeholders drawn from a typical engagement, so replace them with the counts from your proposal. Every clause is written to be read by a client, not used against one.
Deliverables
Count everything. A deliverable a client cannot count is a deliverable a client can expand.
- 2.1Configuration of NetSuite for 2 subsidiaries with the modules listed in Schedule A: general ledger, accounts payable, accounts receivable, fixed assets and inventory.
- 2.2A signed solution design document at the end of the design phase.
- 2.3Up to 12 custom saved searches and 8 custom reports listed in Schedule B.
- 2.4Up to 6 SuiteScript customizations and 10 workflows listed in Schedule C.
- 2.5Integrations with Shopify and a 3PL using prebuilt connectors as listed in Schedule D.
- 2.6Migration of open balances, vendors, customers, items and open transactions as of cutover date.
- 2.7Train-the-trainer sessions for 8 key users, user acceptance testing support and 30 days of post go-live support.
Exclusions (out of scope)
Name what the engagement does not include. These are the lines your PMs will cite most often.
- 3.1Additional subsidiaries, currencies or modules not listed, including manufacturing, payroll and advanced revenue recognition.
- 3.2Migration of closed historical transactions.
- 3.3End-user training beyond the train-the-trainer sessions.
- 3.4Data cleansing in legacy systems.
- 3.5Software licenses and connector subscriptions.
- 3.6Business process redesign beyond configuring the processes agreed in the solution design document.
Revision limits
The solution design document includes two review rounds. After sign-off, requirement changes follow Change Control. Configuration adjustments discovered during user acceptance testing that are within the signed design are included.
Acceptance criteria
Acceptance needs a measurable test and a window. Without both, delivery never formally ends.
- 5.1Each phase closes with a signed gate review.
- 5.2User acceptance testing passes the test scripts in Schedule E with no open severity 1 or 2 defects.
- 5.3Trial balance and open balances reconcile to the legacy system at cutover.
Client assumptions & dependencies
Tie each dependency to a date so a late input has a known effect on the schedule.
- 6.1The client appoints a project sponsor and one process owner per module with decision authority.
- 6.2Legacy data is extracted by the client into the agreed templates.
- 6.3Key users are available for at least 25% of their time during design and testing.
Change control
Any change to the signed solution design, including new reports, scripts, workflows, integrations, entities or data objects, is a change. The integrator logs it, assesses effort and timeline impact within three business days, and presents a change order to the steering committee. Approved changes are added to the plan with a revised phase budget.
These clauses are drafting guidance written from agency delivery practice. They are not legal advice. Agencies should have final MSAs and SOWs reviewed by counsel, especially for liability, IP, payment and termination terms, which this template does not cover.
Ambiguity check
The phrases that turn into free work, and what to write instead.
These are the vague lines we see most often in cloud & devops SOWs. Each one sounds reasonable at signature and becomes a dispute three months later.
Before
Implement NetSuite to meet the client's business requirements.
Safer rewrite
Implement NetSuite per the signed solution design document, configuring the modules, entities and objects listed in Schedules A to D.
Why it matters: Requirements change through the project. The signed design is your baseline.
How to adapt it
7 steps from template to signed SOW.
A template saves drafting time. The protection comes from replacing every placeholder with the real counts, names and dates from your engagement.
- 1
Read the ERP Implementation SOW end to end and mark every number, appendix and named tool that does not match your engagement.
- 2
Price design as its own phase and set the build fee after design sign-off.
- 3
Count reports, scripts and workflows from discovery, not from guesses.
- 4
Name process owners and their time commitment in the assumptions.
- 5
Use a steering committee for change approvals so departments cannot bypass the process.
- 6
Run the ambiguity check: search your draft for words like all, any, ongoing, as needed, unlimited and timely, and replace each one with a count, a list or a date.
- 7
Have your counsel review the final MSA and SOW before signature, then load the signed SOW into TWINJAM so every request is checked against it.
