Ambiguity fix

We will design logo options until the client is satisfied.

Three concepts, one selected, two refinement rounds. Additional concepts are quoted separately.

Best for

Branding studios delivering a new identity or a refresh for a growing company.

Identity work invites subjective feedback from everyone in the client's office, and each new voice can restart a round. The protection is structure: a strategy sign-off before design, a fixed number of concepts, a fixed number of refinement rounds, and a named list of applications. Trademark clearance, which clients often assume is included, is stated as their counsel's job.

Copy any clause block below into your own SOW. Numbers, appendix names and tools are placeholders drawn from a typical engagement, so replace them with the counts from your proposal. Every clause is written to be read by a client, not used against one.

§ 2

Deliverables

Count everything. A deliverable a client cannot count is a deliverable a client can expand.

  1. 2.1A brand strategy workshop and a strategy summary (positioning, personality, audience) for sign-off.
  2. 2.2Three distinct logo concepts presented with rationale and in-context mockups.
  3. 2.3Refinement of one chosen concept through two rounds into a final logo suite: primary, secondary, mark and monochrome versions.
  4. 2.4A color palette, typography system and graphic element set.
  5. 2.5Brand guidelines PDF of up to 30 pages.
  6. 2.6Application designs for 6 items: business card, letterhead, email signature, social profile set, slide master and one signage mockup.
  7. 2.7Final files in SVG, PNG, PDF and EPS with a file naming guide.
§ 3

Exclusions (out of scope)

Name what the engagement does not include. These are the lines your PMs will cite most often.

  1. 3.1Trademark searches, clearance opinions and registration filings.
  2. 3.2Naming, tagline development and copywriting.
  3. 3.3Website design, packaging design and campaign creative.
  4. 3.4Font licenses and stock imagery, which are purchased by the client.
  5. 3.5Additional concepts once the three concepts are presented.
  6. 3.6Printing and production management.
§ 4

Revision limits

The strategy summary includes one revision round. After concept presentation the client selects one concept, which receives two consolidated refinement rounds. Requests to merge concepts, revisit unchosen concepts or create new concepts are changes.

§ 5

Acceptance criteria

Acceptance needs a measurable test and a window. Without both, delivery never formally ends.

  1. 5.1Strategy is accepted by written sign-off before concept work starts.
  2. 5.2The final logo suite is accepted by written sign-off after the second refinement round, or five business days after delivery without feedback.
  3. 5.3Guidelines and applications are accepted after one round of corrections.
§ 6

Client assumptions & dependencies

Tie each dependency to a date so a late input has a known effect on the schedule.

  1. 6.1Final decision makers attend the strategy workshop and the concept presentation.
  2. 6.2Feedback is consolidated across stakeholders into one written list per round.
  3. 6.3The client's counsel performs trademark clearance on the selected concept before final files are used publicly.
§ 7

Change control

New concepts, extra rounds, additional applications or naming work are changes. The studio will send a change order within two business days with the work, hours, cost and new milestone dates. New stakeholders joining after strategy sign-off may trigger a strategy review, which is quoted as a change.

These clauses are drafting guidance written from agency delivery practice. They are not legal advice. Agencies should have final MSAs and SOWs reviewed by counsel, especially for liability, IP, payment and termination terms, which this template does not cover.

Ambiguity check

The phrases that turn into free work, and what to write instead.

These are the vague lines we see most often in design & ux SOWs. Each one sounds reasonable at signature and becomes a dispute three months later.

Before

We will design logo options until the client is satisfied.

Safer rewrite

Three concepts, one selected, two refinement rounds. Additional concepts are quoted separately.

Why it matters: Satisfaction is a feeling, not a milestone.

How to adapt it

7 steps from template to signed SOW.

A template saves drafting time. The protection comes from replacing every placeholder with the real counts, names and dates from your engagement.

  1. 1

Read the Brand Identity SOW end to end and mark every number, appendix and named tool that does not match your engagement.

  2. 2

Get strategy signed before any visual work. It is your reference point for every later debate.

  3. 3

List decision makers by name in the assumptions.

  4. 4

Count applications precisely. Add an optional per-item price for extras.

  5. 5

Point trademark questions to the client's counsel in writing.

  6. 6

Run the ambiguity check: search your draft for words like all, any, ongoing, as needed, unlimited and timely, and replace each one with a count, a list or a date.

  7. 7

Have your counsel review the final MSA and SOW before signature, then load the signed SOW into TWINJAM so every request is checked against it.
